These Terms of Service ("Terms") govern your access to and use of OPSVOID's website and services. By accessing our website or engaging OPSVOID for services, you agree to be bound by these Terms.
OPSVOID ("OPSVOID", "we", "us", or "our") is operated by OPSVOID LLC.
1. Scope of Services
OPSVOID provides software engineering, consulting, and related services to business clients ("Services"). Specific deliverables, timelines, and fees are defined in written agreements, statements of work ("SOW"), proposals, or similar documents agreed upon by both parties.
In the event of a conflict between these Terms and a signed agreement or SOW, the signed agreement or SOW will control.
2. Eligibility
You represent that you are acting on behalf of a business entity and have the authority to bind that entity to these Terms. OPSVOID does not offer services intended for personal, family, or household use.
3. Client Responsibilities
Clients agree to:
- Provide timely access to required information, systems, and personnel
- Ensure accuracy of materials and instructions provided
- Make decisions and approvals within reasonable timeframes
Delays caused by client inaction may impact timelines and fees.
4. Fees and Payment
Fees, billing schedules, and payment terms are defined in the applicable agreement or SOW.
Unless otherwise stated:
- Invoices are due within thirty (30) days
- Late payments may incur interest at the maximum rate permitted by law
- OPSVOID may suspend services for overdue accounts
All fees are exclusive of taxes, which are the client's responsibility.
5. Intellectual Property
5.1 Client Materials
Clients retain ownership of materials and data they provide to OPSVOID.
5.2 Deliverables
Upon full payment of applicable fees, clients receive ownership of custom deliverables created specifically for them, unless otherwise stated in writing.
5.3 OPSVOID IP
OPSVOID retains ownership of:
- Pre-existing tools, frameworks, libraries, and methodologies
- General knowledge, skills, and experience developed during the engagement
OPSVOID may reuse such elements provided they do not disclose client confidential information.
6. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party and to use such information solely for purposes of the engagement.
Confidentiality obligations survive termination of the engagement.
7. No Warranties
Services are provided on an "as is" and "as available" basis. OPSVOID makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or that services will be error-free or uninterrupted.
OPSVOID does not guarantee specific outcomes, business results, or performance metrics.
8. Limitation of Liability
To the maximum extent permitted by law:
- OPSVOID's total liability arising out of or related to the Services shall not exceed the fees paid by the client to OPSVOID in the six (6) months preceding the claim
- OPSVOID shall not be liable for indirect, incidental, consequential, special, or punitive damages
9. Indemnification
Clients agree to indemnify and hold harmless OPSVOID from claims arising out of:
- Client-provided materials or instructions
- Client's use of the Services
- Client's violation of applicable laws
10. Termination
Either party may terminate an engagement:
- As specified in the applicable agreement or SOW
- For material breach if such breach is not cured within a reasonable period
Upon termination, clients are responsible for fees incurred up to the termination date.
11. Suspension of Services
OPSVOID may suspend services immediately if:
- Required payments are overdue
- Continued performance would violate applicable law
- Client actions pose security or legal risk
12. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
13. Dispute Resolution
Before initiating formal proceedings, the parties agree to attempt good-faith resolution through informal discussions.
14. Independent Contractor
OPSVOID operates as an independent contractor. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
15. Force Majeure
OPSVOID is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, outages, or governmental actions.
16. Changes to These Terms
OPSVOID may update these Terms from time to time. Updated versions will be posted on our website with a revised effective date.
